Please read these terms and conditions ("Terms") carefully before using this website.

By clicking on the button that stipulates agreement to the following terms, or by using this website, you agree to be bound by these Terms.

1. Parties

These Terms constitute a legal agreement between you and National Trust (Enterprises) Limited (Registered Company Number 01083105) whose registered office address is Heelis, Kemble Drive, Swindon, SN2 2NA and whose VAT number is 239 5031 67 ("NTE").

References to 'National Trust Images' in these Terms and on this website are references to the department of NTE responsible for operating this website.

In these Terms references to 'we', 'us' and 'our' refer to NTE. References to 'you' or 'your' refer to the user of this website or customer of National Trust Images.

Some of these Terms will not apply to 'Consumers', but will apply to all other users. If you are a 'natural person' (i.e. an individual rather than a company) and you are using this website for purposes which are outside your trade, business or profession then you are a 'Consumer' and these Clauses will not apply to you. The relevant clauses are Clauses 3 and 5 below.

2. Ownership of the Site and its Content

This website and all of the content featured or displayed on this website, including all text, graphics, photographs and images ("Content"), is owned by or licensed to NTE and its content providers.

This website and its Content are protected by trademarks, copyright, moral rights and other laws relating to intellectual property rights.

Except as explicitly permitted under this or another agreement with NTE, no portion or element of this website or its Content may be copied or retransmitted via any means and this website, its Content and all related rights shall remain the exclusive property of NTE and its content providers unless otherwise expressly agreed.

You may not make or permit any modifications to or alterations of images (except standard colour correction) or to the caption information accompanying such images unless specifically agreed in writing by us.

3. Indemnification for Breach (non-consumers only)

Provided you are not a Consumer (see Clause 1 above) you agree to indemnify NTE and the National Trust against any losses, expenses, costs or damages howsoever incurred as a result of your breach of the Terms of this Agreement or your unauthorised use of the website and its Content.

4. Use of Content and this Website

Certain Images are made available through the site in a low resolution and / or watermarked format specifically for the purpose of use in reference material ('Reference Images').

All Images other than Reference Images may only be used once you have entered into a separate licence agreement with NTE.

Reference Images may only be used for your internal reference material and layouts. The low resolution size and / or watermarked format are provided via the website. NTE does not grant you any licence to use Reference Images in any final materials distributed either internally or externally by yourself or your company, including any electronic or online system. Except for this limited, internal testing and sample use, NTE grants you no other rights, and you may not distribute, sublicense or make available for use or distribution any Reference Images.

Images, including Reference Images, may not be licensed or supplied to third parties without NTE's express permission.

5. Model and Property releases (non-consumers only)

Provided you are not a Consumer (see Clause 1 above):

(a) NTE gives no representations or warranties whatsoever as to the existence of any release associated with any image or other Content, whether model release, property release or otherwise;

(b) NTE gives no representations or warranties whatsoever with respect to the use of names, trademarks, logos, uniforms, registered or copyrighted designs or works of art depicted in any image or any other Content; and

(c) you must satisfy yourself that all necessary rights, consents or permissions as may be required for reproduction of images or any other Content have been secured.

6. Using Images

Your ability to access an image or other Content does not in itself entitle you to use the image.

Without limitation, images and other Content may not be utilised as a trademark or service mark, or for any unlawful purpose or use, or to defame any person, or to violate any person's right of privacy or publicity, or for any pornographic use, or to infringe upon any copyright, trade name, trademark or service mark of any person or entity.

You agree not to use any image or other Content to support any political or religious cause or in any way which may be defamatory or reasonably anticipated to compromise the reputation of The National Trust or NTE or imply that National Trust or NTE uses or approves or endorses any cause or commercial commodity.

All rights to images and other Content are owned by the creators, the National Trust or NTE (as appropriate).

You must include a copyright notice and photo credit adjacent to each Image in the format: "© National Trust Images/photographer's name" unless NTE agrees otherwise.

When you are licensed an Image from NTE, you acquire from NTE only the limited right to reproduce that Image as agreed when you confirm specific usage details before downloading.

7. Reproduction Price and Agreement

You may purchase images for immediate delivery subject to you agreeing written terms with a member of NTE staff. The on-line price calculator provides a list price based on the information you submit and does not constitute an offer to license images at that price. Your submission of an order via the site constitutes an offer to purchase a license at the relevant list price. Following submission of this offer NTE will contact you to discuss the terms of any license.

All published prices are exclusive of VAT (Value Added Tax) that will be added as applicable and for which you are additionally liable for.

EU companies must supply a valid EU VAT number in order to avoid VAT being imposed at the current UK rate.

If you order products or services from our site for delivery outside of the UK, they may be subject to import duties and taxes that are levied when the delivery reaches the specified destination. You will be responsible for payment of any such import duties and taxes. Please note that we have no control over these charges and cannot predict their amount. Please contact your local customs office for further information before placing your order.

8. Payment Terms

If you hold an account with NTE for use of this website you agree to pay the invoiced price within 30 days of the date of invoice.

We readily accept credit card payments from customers for accounting convenience. Should you wish to pay by Debit/Credit Card please call the telephone number on your invoice.

All image orders are delivered to the ordering customer once price and usage details have been agreed with NTE in writing or by email. NTE will then allow the customers to download the image for the agreed use.

Your failure to make due payment within the timescale agreed entitles NTE to suspend any rights granted for image(s) or other Content. You will be deemed to be in breach of copyright if you, or any third party permitted by you, continue to use the images or other Content.

Future access or services of this website will either be restricted or cut as a result of non-payment. Continued non-payment will result in account termination (where applicable). If you have difficulty with making the payment or if you have any query with an invoice, it is essential that you contact our accounts dept. and call the telephone number on your invoice.

9. Credit Account Terms

NTE allows approved new users to download images only after confirmation of account details on the Customer Credit Account Form have been received back by email. This form will be sent to you at the time of registration and must be returned urgently.

Registered users agree to all terms and conditions of the NTE by ticking the check box on the ordering page of the NTE website and must abide by these conditions to continue access.

All overseas customers will be required to pay their account by credit card.

NTE reserve the right to withhold order delivery until payment has been received due to overseas location or payment.

10. Miscellaneous

You may not transfer, assign, charge or otherwise dispose of any contract entered into between you and us, or any of your rights or obligations arising under it, without our prior written consent.

We may transfer, assign, charge, sub-contract or otherwise dispose of any contract, or any of our rights or obligations arising under it, at any time.

This agreement and any contracts for the provision of goods or services made using this website (in whole or in part) and any dispute or claim arising out of or in connection with this website will be governed by English law and shall be subject to the exclusive jurisdiction of the courts of England and Wales.
